 al Equity Fund\, the Desautels Fixed Income Fund\, and the Desautels Alpha
  Squared Fund (hereafter: the Desautels Funds)\, together with Desautels C
 apital Management Inc.\, have been established as a pedagogical venture in
  order to offer students in the Investment Management Program in the Desau
 tels Faculty of Management at 91Ë¿¹ÏÊÓƵ some meaningful and realis
 tic experience of the investment management industry and of investment res
 earch and analysis by working for Desautels Capital Management Inc. All ou
 tstanding shares of Desautels Capital Management Inc. are owned by 91Ë¿¹ÏÊÓƵ 
 University. Desautels Capital Management Inc. has a separately constituted
  board of directors\, all of whom are independent from 91Ë¿¹ÏÊÓƵ\, and consti
 tutes a separate legal entity having responsibility for its own affairs. T
 he role of 91Ë¿¹ÏÊÓƵ towards Desautels Capital Management Inc. is 
 limited to the following activities:\n\n(i) appointing independent directo
 rs to Desautels Capital Management Inc.’s board of directors\; and\n\n(ii)
  providing limited financial resources and support to Desautels Capital Ma
 nagement Inc.\, such as office space and allowing certain of its officers 
 and employees to serve as officers of Desautels Capital Management Inc. or
  to carry out certain other functions.\n\nNeither 91Ë¿¹ÏÊÓƵ nor th
 e Board of Governors of 91Ë¿¹ÏÊÓƵ has the authority or power to ac
 t on behalf of Desautels Capital Management Inc. or the Desautels Funds\, 
 or to incur any expenditures on behalf of Desautels Capital Management Inc
 . or the Desautels Funds. Neither 91Ë¿¹ÏÊÓƵ nor the Board of Gover
 nors of 91Ë¿¹ÏÊÓƵ shall be liable for any debts or obligations of 
 Desautels Capital Management Inc. or the Desautels Funds. 91Ë¿¹ÏÊÓƵ Universit
 y is not involved in the daily activities of Desautels Capital Management 
 Inc.\, including making investment decisions\, and therefore does not take
  any responsibility for Desautels Capital Management Inc.’s activities. Mo
 re specifically\, 91Ë¿¹ÏÊÓƵ has no liability under the Units\, doe
 s not guarantee or otherwise stand behind the Units nor does it guarantee 
 performance of the Desautels Funds. Any function or activity of Desautels 
 Capital Management Inc. carried out by individuals who are also officers o
 r employees of 91Ë¿¹ÏÊÓƵ is carried out exclusively in the name of
